Job Responsibilities:

  • Providing advice, guidance and support on Company Secretarial matters, including corporate governance, statutory matters, regulatory matters, governmental matters, standard procedure instructions.
  • Implement, embed and improve maturity of the Operational Risk Management Framework for Canada Company Secretary, ensuring risks and controls are managed within risk appetite.
  • Plan, attend and take minutes of HSBC subsidiary board meetings.
  • Managing corporate and business governance arrangements for HSBC subsidiary boards.
  • Supporting the Deputy Corporate Secretary in administration of Powers of Attorney and Delegations of Authority for HSBC companies in Canada.
  • Contribute to other risk and control initiatives (including the third party risk management) as prioritized by Corporate Secretary and Chief Control Officer for HSBC Bank Canada.
  • Understanding and fulfilling all statutory obligations for HSBC companies in Canada.
  • Ensure Regulatory Requirements are fulfilled by the Risk and Control Owners, especially with OSFI E-13 (Regulatory Risk Oversight Program) and OSFI B-10 (Material Outsourcing / Third Party Risk Management Framework).
  • Providing advice and guidance to ensure effective functioning of subsidiary board meetings.
  • Contribute to the development of staff in the Company Secretarial function in order to enhance the well-being and performance of individuals and effectiveness of the team.

Job Requirements:

  • Proven ability to lead, influence and execute in a challenging and changing environment
  • Strong inter-personal, organizational, process management and verbal/ written skills including the maintenance and development of relationships with Directors
  • Ability to think innovatively with a drive for continuous improvement
  • Proven ability to work well with all levels of management, handle confidential and sensitive information, work independently and under
  • pressure and handle multiple tasks
  • Lateral thinking/problem solving/creativity
  • A qualified lawyer in Ontario with 5+ years of experience

Qualification & Experience:

  • Experience of working in a banking environment
  • Experience of working in a corporate governance function
  • Experience of working with executive and non-executive directors
