Job Responsibilities: Ensure Regulatory Requirements are fulfilled by the Risk and Control Owners, especially with OSFI E-13 (Regulatory Risk Oversight Program) and OSFI B-10 (Material Outsourcing / Third Party Risk Management Framework). Supporting the Deputy Corporate Secretary in administration of Powers of Attorney and Delegations of Authority for HSBC companies in Canada. Understanding and fulfilling all statutory obligations for HSBC companies in Canada. Implement, embed and improve maturity of the Operational Risk Management Framework for Canada Company Secretary, ensuring risks and controls are managed within risk appetite. Managing corporate and business governance arrangements for HSBC subsidiary boards. Plan, attend and take minutes of HSBC subsidiary board meetings. Providing advice, guidance and support on Company Secretarial matters, including corporate governance, statutory matters, regulatory matters, governmental matters, standard procedure instructions. Contribute to the development of staff in the Company Secretarial function in order to enhance the well-being and performance of individuals and effectiveness of the team. Contribute to other risk and control initiatives (including the third party risk management) as prioritized by Corporate Secretary and Chief Control Officer for HSBC Bank Canada. Providing advice and guidance to ensure effective functioning of subsidiary board meetings.
